Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LastKnown platform and services provided by Decisive Edge LLC ("LastKnown," "we," "us," or "our"), including the web application at app.lastknown.ai and the mobile application ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

LastKnown provides an AI-powered incident decision support platform that generates Immediate Action Plans, surfaces similar historical incidents, provides priority notification guidance, and automatically builds incident documentation records.

The Service is a decision support tool. All recommendations, action plans, and guidance generated by LastKnown are for informational purposes only. The Service does not replace the judgment of trained security professionals. Every recommendation requires human review and confirmation before action. LastKnown takes no autonomous action on your behalf.

2. Accounts and Access

Access to the Service requires an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must provide accurate information when creating an account. You may not share account credentials or allow unauthorized persons to access the Service using your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a security risk.

You retain ownership of all data you enter into the Service, including incident descriptions, contacts, playbooks, and documentation records. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.

We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for the accuracy and legality of the data you enter into the Service. You represent that you have the right to submit any data you provide to the Service.

The Service uses artificial intelligence to generate Immediate Action Plans, incident summaries, and other content. You acknowledge that:

The Service, including all software, algorithms, interfaces, design, and content created by LastKnown, is owned by Decisive Edge LLC and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements.

You retain all intellectual property rights in the data and content you submit to the Service.

7. Confidentiality

You acknowledge that your access to the Service may involve exposure to confidential information about LastKnown's systems, technology, and business. You agree to maintain the confidentiality of any non-public information about the Service and not to disclose it to third parties.

8. Payment and Billing

During the design partner phase, the Service is provided at no charge. Commercial terms will be established in a separate agreement prior to any paid use of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose.

THE SERVICE IS A DECISION SUPPORT TOOL. IT DOES NOT REPLACE TRAINED SECURITY PROFESSIONALS, EMERGENCY SERVICES, OR LAW ENFORCEMENT. IN ANY EMERGENCY, CONTACT 911 OR APPROPRIATE EMERGENCY SERVICES IMMEDIATELY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DECISIVE EDGE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising under these Terms shall not exceed the amount paid by you to LastKnown in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Decisive Edge LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

12. Termination

Either party may terminate these Terms at any time with written notice. Upon termination, your access to the Service will be discontinued. We will export your data and delete it in accordance with our Privacy Policy.

Sections 6, 9, 10, 11, and 14 survive termination of these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page with a new effective date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Wyoming.
